1. THE COACHING RELATIONSHIP
1.1 Definition of Partnership: Coaching is a professional alliance between the Coach and the Client designed to facilitate the development of personal, professional, or business goals.
1.2 Scope of Practice: The Client understands that coaching is an advisory process and not a substitute for psychotherapy, mental health counseling, or legal/financial advice.
1.3 Ethical Standards: The Coach agrees to maintain the professional standards and Code of Ethics established by the International Coaching Federation (ICF).
1.4 Client Responsibility: The Client is solely responsible for their own decisions, actions, and results. The Coach provides the framework, but the implementation of any strategy is at the Client's sole discretion.
1.5 Mutual Respect & Conduct: Both the Coach and the Client agree to interact with the highest levels of professionalism, dignity, and respect.
1.6 Expected Language: All communications—whether verbal in sessions or written via email/Teams—must use professional and inclusive language. Offensive, discriminatory, or harassing remarks are strictly prohibited.
1.7 Safe Environment: The Coach provides a non-judgmental environment. Conversely, the Client must refrain from behavior that could be considered threatening, disruptive, or harmful.
2. SERVICE DELIVERY
2.1 Methodology: Coaching sessions are delivered either in person, via Microsoft Teams, Zoom, or another agreed-upon digital platform.
2.2 Session Duration: Each standard session is 60 minutes in length unless otherwise specified in the chosen coaching package or workshop.
2.3 Punctuality: To maintain the schedule of all clients, sessions will begin and end at the scheduled time. If the Client is late, the session will not be extended.
2.4 Communication: Between-session support (email or messaging) is provided as outlined in the specific program description and is limited to brief updates or clarifications.
3. PREPAYMENT REQUIREMENT
3.1 Advance Payment: All fees must be paid in full in advance of the first coaching session. No sessions will be confirmed, scheduled, or conducted until cleared funds have been received by the Coach.
3.2 Retainers and Packages: For multi-month engagements, the full program fee or the first monthly installment must be paid prior to the commencement of the first session of that period.
3.3 Booking Validation: A session time is only considered "secured" once the associated invoice is marked as paid. Unpaid bookings may be released to other clients after 48 hours.
4. CANCELLATION & RESCHEDULING
4.1 Notice Period: The Client must provide a minimum of 72 hours’ notice to reschedule a session.
4.2 Forfeiture: Because sessions are prepaid, any cancellation or rescheduling request made with less than 72 hours' notice will result in the forfeiture of that session credit.
4.3 No-Shows: Failure to attend a scheduled session without notice results in the immediate forfeiture of the prepaid fee for that session.
5. REFUNDS AND EXPIRATION
5.1 Non-Refundable Policy: All prepaid fees are non-refundable. By completing payment, the Client commits to the coaching program.
5.2 Credit Validity: Prepaid session credits expire 6 months from the date of purchase. Any sessions not utilized within this timeframe are forfeited without a refund.
6. CONFIDENTIALITY
6.1 Non-Disclosure: The Coach will not disclose any information pertaining to the Client without written consent, except where required by law (e.g., a court order or immediate threat of harm).
6.2 Corporate Sponsored Coaching: If a third party (employer) has prepaid for the coaching, the Coach may provide high-level status reports (attendance and goal completion) but will protect the specific conversational details of each session.
7. INTELLECTUAL PROPERTY
7.1 Ownership: All frameworks, templates, and digital materials provided are the proprietary intellectual property of TEAMS Executive Coaching.
7.2 Usage License: The Client is granted a non-exclusive license to use these materials for personal growth but may not redistribute, sell, or use them for corporate training purposes without written permission.
8. LIMITATION OF LIABILITY
8.1 Disclaimer: The Coach makes no guarantees regarding specific professional or financial outcomes.
8.2 Liability Cap: The Coach’s total liability for any claim arising out of this agreement is strictly limited to the total amount of prepaid fees paid by the Client for the service in question.
9. TERMINATION
9.1 Termination Rights: Either party may terminate the agreement with 7 days' written notice.
9.2 Unused Credits: Upon termination by the Client, unused prepaid credits are non-refundable. If the Coach terminates the agreement for reasons other than a breach of terms, a pro-rata refund for unused sessions will be issued.
